We advise a diverse range of clients, from private individuals, small start-ups and SME's to financial institutions, public companies and private equity houses on all corporate issues. We have significant experience and expertise in mergers, acquisitions and disposals and advise on transactions of all sizes and across all sectors. In advising on a transaction, we focus on the real issues from the outset and ensure that any potential problems are eliminated at an early stage. From the heads of terms to the completion meeting, we listen to your requirements and are focussed on achieving your objectives. We try to keep things as straightforward as possible so as not to confuse anyone with unnecessary legal jargon. We work closely with specialist lawyers in our other work groups to ensure that our clients receive a seamless service that is tailored to their needs. Where specialist industry knowledge is required, our lawyers can draw upon experience of working across a wide range of sectors including financial services, construction and hotels and leisure to name but a few. We advise on all manner of corporate issues including shareholder and partnership agreements, joint ventures, share schemes, MBO's, reconstructions and reorganisations, share buybacks and all general company matters. We provide practical and commercial support to our clients, advising on statutory and regulatory compliance, corporate governance and a range of other business issues. Our Corporate Group has a particular understanding of the real estate sector and has a wealth of experience in advising on corporate real estate transactions. Working closely with our Real Estate Group, we act for clients on share and asset sales and purchases, corporate joint ventures, partnership structures (including limited partnerships and limited liability partnerships), SDLT planning, corporate reorganisations and JPUT (and other offshore property unit trust) establishments and sales/acquisitions. In addition to our core legal services, we are also able to provide a complete company secretarial service in order to help company directors and secretaries negotiate the minefield of legislation to which they are subject. As part of this service we are able to maintain and review a company's statutory books, advise directors of their statutory duties, draft and amend memorandum and articles of association, assist companies in complying with their statutory duties, provide a registered office service, incorporate new companies and strike off existing companies, complete and file documentation at Companies House and conduct company and director searches.
